End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you and CADXChange, an independent software developer based in Japan, for the use of any CADXChange desktop application — the CADXChange Toolkit, and BlockSync, BlockCopy, BlockCompare, TextSync, TextCompare, Dwg2Pdf, DwgSearch, P3DSync and LayerSync (each a "Tool"). Each Tool is licensed separately (the Toolkit as one product, see section 8), and installing or running a Tool means you accept this EULA for that Tool.

Subject to this EULA, CADXChange grants you a non-exclusive, non-transferable license to install and use a Tool on computers you control, for as long as you have a valid AutoCAD license those Tools require.

Free tier: you may use the Free tier of any Tool indefinitely, subject to the batch-size and feature limits shown on that Tool's pricing page and in its documentation (for example, the Free tier processes drawings one at a time).

Pro tier: a paid Pro license activates the Tool's Pro features for the license term shown at checkout (monthly or annual, as you choose). A Pro license is issued per Tool, per license key, and is intended for use by the individual or organization that purchased it — see "Restrictions" below for what that does and doesn't allow.

You may not: redistribute, resell, rent, or sublicense a Tool or its license key to a third party; remove or alter any copyright, trademark, or licensing notice embedded in a Tool; use a single Pro license key to activate the same Tool simultaneously across more machines or users than the license terms on that Tool's pricing page allow; circumvent, disable, or tamper with a Tool's license verification or with the protection of its Pro features; or reverse-engineer, decompile, or disassemble a Tool except to the extent applicable law expressly permits despite this restriction.

Each Tool checks its license status over the network at startup and periodically afterward. The license server answers with a signed license record that the Tool verifies on your computer, so a Pro license also keeps working for up to 14 days without a connection; past that, or if the record cannot be verified, the Tool falls back to the Free tier. For a valid Pro license the server also supplies the key that unlocks the Tool's Pro batch-processing module. The check does not transmit drawing content, filenames, or file paths. See the Privacy Policy for what is and isn't sent during this check.

CADXChange retains all right, title, and interest in and to each Tool, including all intellectual property rights. This EULA does not sell you the software — it licenses your use of it. You retain all rights to the drawing files you process with a Tool; CADXChange claims no ownership over your data.

Each Tool is provided "as is," without warranty of any kind, to the fullest extent permitted by law. See the Disclaimer of Warranties and Limitation of Liability sections of the Terms of Service, which apply equally to this EULA. Because batch operations can modify many drawing files at once, always keep your own backups; the automatic backups a Tool offers are a convenience, not a substitute for your own backup process.

This license terminates automatically if you breach this EULA. Upon termination you must stop using and uninstall the affected Tool. Sections on ownership, warranty disclaimers, and liability survive termination.

This EULA is governed by the laws of Japan, without regard to conflict-of-law principles, except where mandatory consumer-protection law in your country of residence provides otherwise.

The CADXChange Toolkit is one application that contains BlockSync, TextSync, BlockCopy, LayerSync, BlockCompare, TextCompare and DwgSearch. For the Toolkit this section applies and, where it differs from sections 1 to 3, it prevails. The Toolkit works on DWG files directly and does not require AutoCAD to be installed.

Trial and licence: the Toolkit includes a free 30-day trial of everything it does. After the trial, DwgSearch and the DWG viewer stay free, and the other tools can still open, scan, preview and compare drawings; writing to drawings and exporting need a licence. A licence is bought as a monthly or yearly subscription, or as a one-time purchase. A subscription licence is valid while the subscription is paid and ends when it is cancelled or refunded. A one-time licence does not expire and includes all updates of the major version current at purchase; a later major version may need a new licence. One licence key may be activated on up to two computers, for use by the person or organization that bought it. Refunds follow the refund policy.

Your drawings: the Toolkit writes to your DWG files, in batches. Every change can be previewed before it is written, a backup copy is made before each drawing is written, and each saved drawing is read back and checked against what was intended. Even so, a drawing can be damaged or changed in a way you did not intend, for example by a faulty source file, a full disk, an open or locked file, or a power failure while writing. You are responsible for reviewing each preview, for trying a new kind of change on copies first, and for keeping your own backups; the automatic backup and the Rollback function are a convenience and not a guarantee. The Disclaimer of Warranties and the Limitation of Liability of the Terms of Service apply in full to lost, damaged or altered drawings and to any loss that follows from them.
