End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you and CADXChange, an independent software developer based in Japan, for the use of any CADXChange desktop application — BlockSync, BlockCopy, BlockCompare, TextSync, TextCompare, Dwg2Pdf and DwgSearch (each a "Tool"). Each Tool is licensed separately, and installing or running a Tool means you accept this EULA for that Tool.

Subject to this EULA, CADXChange grants you a non-exclusive, non-transferable license to install and use a Tool on computers you control, for as long as you have a valid AutoCAD license those Tools require.

Free tier: you may use the Free tier of any Tool indefinitely, subject to the batch-size and feature limits shown on that Tool's pricing page.

Pro tier: a paid Pro license activates the Tool's Pro features for the license term shown at checkout (currently annual). A Pro license is issued per Tool, per license key, and is intended for use by the individual or organization that purchased it — see "Restrictions" below for what that does and doesn't allow.

You may not: redistribute, resell, rent, or sublicense a Tool or its license key to a third party; remove or alter any copyright, trademark, or licensing notice embedded in a Tool; use a single Pro license key to activate the same Tool simultaneously across more machines or users than the license terms on that Tool's pricing page allow; or reverse-engineer, decompile, or disassemble a Tool except to the extent applicable law expressly permits despite this restriction.

Each Tool checks its license status over the network at startup and periodically afterward. This check verifies only the license (key, tier, and expiry) — it does not transmit drawing content, filenames, or file paths. See the Privacy Policy for what is and isn't sent during this check.

CADXChange retains all right, title, and interest in and to each Tool, including all intellectual property rights. This EULA does not sell you the software — it licenses your use of it. You retain all rights to the drawing files you process with a Tool; CADXChange claims no ownership over your data.

Each Tool is provided "as is," without warranty of any kind, to the fullest extent permitted by law. See the Disclaimer of Warranties and Limitation of Liability sections of the Terms of Service, which apply equally to this EULA. Because batch operations can modify many drawing files at once, always keep your own backups; the automatic backups a Tool offers are a convenience, not a substitute for your own backup process.

This license terminates automatically if you breach this EULA. Upon termination you must stop using and uninstall the affected Tool. Sections on ownership, warranty disclaimers, and liability survive termination.

This EULA is governed by the laws of Japan, without regard to conflict-of-law principles, except where mandatory consumer-protection law in your country of residence provides otherwise.
