Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CADXChange website (the "Site") and the CADXChange desktop applications — BlockSync, BlockCopy, BlockCompare, TextSync, TextCompare, Dwg2Pdf and DwgSearch (each a "Tool", collectively the "Software"). CADXChange is operated by an independent software developer based in Japan ("CADXChange", "we", "us"). By visiting the Site, downloading a Tool, or purchasing a Pro license, you agree to these Terms.

Each Tool is a standalone Windows desktop application that plugs into a licensed, full version of AutoCAD to automate a specific batch-processing task (block attributes, block definitions, text, PDF output, or drawing search) across many drawings at once. Tools are downloaded and installed directly on your own machine; drawing files are read and written locally through AutoCAD's own engine and are never uploaded to CADXChange or any third party.

Each Tool is distributed with a Free tier and an optional paid Pro tier, described on that Tool's own pricing page. Your use of the Software itself — installation, license activation, and permitted use — is additionally governed by the End User License Agreement ("EULA"), available at /legal/eula. If these Terms and the EULA conflict on a software-licensing question, the EULA controls.

No account is required to download or use the Free tier of any Tool. A Pro license is tied to the email address used at checkout and is activated inside the Tool with that license.

CADXChange is the seller of record for every Pro license. Payment is collected on our behalf by Stripe, Inc. ("Stripe"), our payment processor — Stripe handles the secure collection of your card details and processes the charge, but does not act as merchant of record, reseller, or invoicing party. Your card details are collected and processed directly by Stripe, subject to Stripe's own Privacy Policy (https://stripe.com/privacy) and Terms of Service (https://stripe.com/legal/consumer); CADXChange never receives or stores your full card number. CADXChange remains responsible for the sale itself, including invoicing, any applicable sales tax/VAT, and receipts. Questions about a specific charge, invoice, refund, or your license go to us at the email below; only questions about Stripe's own handling of your payment method should be directed to Stripe.

Each Tool's Free edition has no time limit and may be used indefinitely under the limits stated on that Tool's pricing page. Paid Pro licenses are covered by our Refund Policy at /legal/refund.

You agree not to: reverse-engineer, decompile, or circumvent the license-check mechanism of any Tool except to the extent such restriction is unenforceable under applicable law; resell, sublicense, or redistribute the Software except as expressly permitted by the EULA; use the Site or Software to violate any applicable law; or attempt to interfere with or disrupt the license-verification service that Tools contact at startup.

The Software, the Site, and all associated branding, documentation, and content are owned by CADXChange (or its licensors) and protected by copyright and other intellectual property laws. These Terms grant you no rights to CADXChange's trademarks or branding beyond identifying the Software you've licensed.

The Software and Site are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any Tool will be error-free, that it will produce a specific result on your drawings, or that it is fit for any particular workflow. You are responsible for reviewing the diff previews and backups each Tool provides before relying on a batch operation's result, and for maintaining your own backups of any drawing files you process.

To the maximum extent permitted by applicable law, CADXChange will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or business, arising from your use of or inability to use the Software or Site, even if advised of the possibility of such damages. Our total liability for any claim relating to a Tool will not exceed the amount you paid for that Tool's license in the twelve months preceding the claim.

Nothing in these Terms limits any liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or mandatory consumer-protection rights in your country of residence.

We may suspend or terminate your license if you materially breach these Terms or the EULA and don't cure the breach after notice. You may stop using a Tool and uninstall it at any time; this does not by itself entitle you to a refund except as described in the Refund Policy.

We may update these Terms from time to time. The "Updated" date at the top of this page reflects the latest revision. Continued use of the Software or Site after a change takes effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of Japan, without regard to its conflict-of-law principles, except that nothing in these Terms overrides any mandatory consumer-protection rights you're entitled to under the law of your own country of residence.
